MEET MY NEIGHBOR PRODUCTIONS, INC
Purpose of Corporation
Meet My Neighbor Productions, Inc., herein referred to as Meet My Neighbor Productions, is organized as a 501(c)(3) Charitable Organization fostering awareness, education, and free marketing services to small agriculture businesses by way of financing all production costs associated with the series called Meet My Neighbor, which will be hosted on social media.
Connecting Agriprenuers with an audience to promote their business ventures.
What is an Agripreneur? It’s a term used for Agricultural Entrepreneurs: a breed of entrepreneurs combining their love of Farming and Agriculture with an acquired professional Business Approach. These individuals are creative, hardworking, rural people who are earning an income from Agritourism, Agricultural Services, or Agricultural Production.
The video series features “Agripreneurs” and is designed to accomplish 5 major goals:
1- Share with the public the lives, struggles, and efforts of small farmers and ranchers.
2- Educate the public on Sustainable, Regenerative, and Humane Agricultural Practices.
3- Provide a free marketing resource and exposure opportunity to the “Agripreneurs” featured in the program.
4- Broaden the general publics’ understand of agriculture and the positive impacts that proper agricultural stewardship has on the economy, environment and our climate.
5- Give other Agripreneurs ideas on how they can earn a successful income off their own farm.
Meet My Neighbor Productions may also from time to time finance feature films beyond the Meet My Neighbor series remaining focused on the core values and purposes stated above. Examples of such are independent films and documentaries.
No part of the net earnings of the corporation shall inure to the benefit of or be distributable to, its members, directors, officers, or other private persons except that the corporation shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of purposes set forth in these articles of incorporation.
No substantial part of the activities of the corporation shall be the carrying on of propaganda or otherwise attempting to influence legislation, and the corporation shall not participate in or intervene in (including the publishing or distribution of statements) any political campaign on behalf of or in opposition to any candidate for public office. Notwithstanding any other provisions of these articles, the corporation shall not carry on any other activities not permitted to be carried on (a) by a corporation exempt from federal income tax under Section 501(c)(3)of the Code or (b) by a corporation, contributions to which are deductible under Section
170(c)(2) of the Code.
Payments and Distributions in Furtherance of Purposes
Meet My Neighbor Productions will use it’s financial resources as follows:
- Cover all fees associated with marketing and promotion of the Meet My Neighbor Productions’ films.
- Pay competitive hourly wages to officers, members, and employees, for tasks performed while developing marketing materials and staffing fundraising events.
- Cover all fees associated with the filming and production of Meet My Neighbor Productions.
- Meet My Neighbor Productions will operate under the current fee schedule of Yanasa Ama Ventures Co-Production Discount Program also known as the “YAR Discount Program”. These fees include a cooperative rate for shared content copy-write and distribution earnings. Meet My Neighbor Productions does not retain royalties from productions created under this program.
- Reimburse costs incurred by officers, members, employees, and subcontractors for travel, accommodations, equipment, and general expenses associated with the filming, production, marketing, and fundraising of Meet My Neighbor Productions.
Unpaid balances from the above listed expenses will be paid in a timely manner. On occasion donations receipts may be provided in lieu of payment when agreed upon by both parties.
Including, for such purposes, the making of distributions to organizations that qualify as exempt organizations under Sections 501(c)(3) and 170(c)(2) of the Internal Revenue Code of 1986 (herein the “Code”) (or the corresponding provisions of any future United States Internal Revenue Code).
Distributions Upon Dissolution
Upon Dissolution: All remaining assets, after settlement of accounts payable, of Meet My Neighbor Productions shall be donated to other 501(c)(3) organizations that support similar causes as agreed upon by all founding members:
The promotion and support of agricultural entrepreneurs
General Agricultural Education Organizations
Educate the public on Sustainable, Regenerative, and Humane Agricultural Practices
Human Livestock and Animal Treatment Organizations
Environmental Education & Support
Entrepreneurial Education & Support
